Transition Period. Notwithstanding the ultimate effective date of any Future Termination (the Future Termination Effective Date), the parties hereby agree that ICPSR will continue to provide Service Transition and User Comms (defined below) to Meta for a period of up to one hundred and twenty (120) days following the Future Termination Effective Date (the Transition Period), in accordance with this SOW and in a way that minimizes disruption to Meta and Users (the Transition Services). 3. Transition Services. 1.Data Migration. During the Transition Period, ICPSR will furnish to Meta any and all data and information necessary to enable Meta to effect the transition of the Services from ICPSR to Meta (the Service Transition). Any and all such data will be provided to Meta by ICPSR in the form specified by Meta. 2.User Communication. During the Transition Period, ICPSR will also cooperate with Meta in communicating the Service Transition to Users, the scope, timing and manner of such communication to be mutually agreed upon, whether through direct 1:1 communications or through scaled marketing materials, and including any associated onboarding and/or off boarding processes and responding to User questions (User Comms).
